Terms and Conditions

These Terms and Conditions govern the relationship between Circle Change Solutions ("we," "us," or "our") and our clients ("you" or "your"). By engaging in our services, you agree to be bound by these terms.

Scope of Services

Circle Change Solutions provides consulting services related to change management and business improvement. The specific scope of services will be outlined in a separate engagement agreement or proposal.

Client Responsibilities

• You agree to provide accurate and complete information necessary for us to deliver our services effectively.
• You are responsible for securing any internal approvals or resources required for successful implementation of our recommendations.
• You will cooperate with us in a timely and professional manner throughout the engagement.

Payment Terms

Payment terms will be detailed in the engagement agreement or proposal.  Unless otherwise specified, invoices are due upon receipt. Late payments may incur additional fees or interest charges.

Termination

Either party may terminate the engagement with written notice. In the event of termination, you will be responsible for payment for services rendered up to the termination date.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation survives the termination of our agreement.

Limitation of Liability

Circle Change Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with our services, even if we have been advised of the possibility of such damages. Our total liability to clients shall not exceed the total amount paid for the specific engagement in question.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good faith negotiation. If negotiation fails, the dispute may be submitted to mediation or arbitration, as agreed upon by the parties.

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of Washington.

Entire Agreement

These terms and conditions, along with the engagement agreement or proposal, constitute the entire agreement between the parties and supersede any prior or contemporaneous communications or agreements.
